History
Insurance Company “Phoenix Re” AD was established in 2000 under the name of “Hannover COOP Bulgaria” ZAD and was licensed with permission No. 100 dated 20.11.2000 issued by the National Insurance Council at the Council of Ministers of the Republic of Bulgaria. The company was registered under company case No. 14023/2000 of Sofia City Court and was subsequently entered into the Commercial Register at the Registry Agency.
During the years, the company has developed dynamically, changing its name: “Hannover COOP Bulgaria” ZAD, “HDI” ZAD, “HDI Insurance” AD.
Changes in the ownership and organizational structure
During 2015, the majority share (94%) in the company was acquired by “Euroins Insurance Group” AD, while the former majority owner – the German company “Talanx International” AG, withdrew.
During 2016, a transformation was performed in the company’s legal and organizational form with the company adopting the name of Insurance Company “EIG Re” EAD. During the same year, the company capital was increased, while in 2017 Insurance Company “Euroins – Health Insurance” EAD was merged into the company, which significantly broadened its scope of activity.
Change in the shareholding and corporate structure
On 04.09.2024 an important change was performed in the company’s shareholding composition, whereby a part of the shares of Insurance Company “EIG Re” EAD were transferred to six new shareholders, each with a minority share of 9.99%.
As a result of that change, on 26.09.2024 the company was transformed from a sole-owner joint stock company into a joint stock company, which circumstance was entered into the Commercial Register and the Register of Non-Profit Legal Entities.
Change in the shareholding and corporate structure
On 30.10.2024, the company changed its name to Insurance Company “Phoenix Re” AD. At the same time, the system of governance was transformed from a two-tier into a one-tier system with governance performed by the Board of Directors.
